52 Acquisition International - Issue 1 2018 Enviro-Master International Franchise LLC acquisition of Restroom Hygiene Business of Ecolab Inc Enviro-Master was founded in 2009 by Pat Swisher, based on his twenty-five plus years of experience in the hygiene business with Swisher International. Ecolab is the global leader in water, chemical and energy technologies. The transaction closed on October 24, 2016 and nearly doubled the system wide customer count of Enviro-Master. Essentially, the transaction was a reverse roll-up, as Enviro-Master had to break down the sales revenue by counties and zip codes across 65 separate franchise territories across the country. Part of the transaction included acquiring employment of 250 hygiene related employees and approximately a fleet of 225 vans. Tod explains what some of the biggest challenges were that the acquisition provided. “One of the biggest challenges was analysing all of the data that came over with the transaction, and there was a tight timeline between acquisition and actual take over date. Enviro-Master had to load all customer service, products and routing data from one system to another. The customers and vendors worked around the clock to import and verify that the data was accurate.” “Significantly, we supplied a specific project and rollout plan to all franchisees to insure the acquired customers were visited by the new owners as quickly as possible to insure the newly acquired customers understood the transaction had taken place. As a result of the transaction, in many cases, customers began receiving higher quality and more consistent service and product deliveries.” Obviously pleased with the completion of the deal, Tod explains what factors he believes are conducive to a successful deal, and what elements need to be in place for the transaction to be successful in the long-term. Enviro-Master purchased the restroom hygiene business from Ecolab, a $14 billion company. In the long-term, franchisees need to continue servicing all customers with timely, high quality service and products.” Lastly, Tod signs off by explaining what the transaction means for the future Enviro-Master, and how it will not only benefit the company, but will also benefit the franchisees. “The transaction allowed us to greatly increase our customer footprint and gave our existing franchisees the opportunity to become even more successful.” CEO Pat Swisher concludes that the combined strengths of the business were a driving force behind this successful deal. “Buying back the Swisher restroom hygiene customers from Ecolab was very satisfying. The majority of the customer base originated from my old company, Swisher Hygiene. We were very excited about the opportunities the acquisition created for our franchisees, in many cases, doubling their existing sales.
